This document is intentionally long — not to bury anything, but because we'd rather over-explain what you're agreeing to than hide it in dense legal shorthand. Wherever a clause exists for a reason that isn't obvious, we've tried to explain the reason next to it. Use the contents on the left to jump straight to what you need.
These Terms & Conditions ("Terms") are a binding agreement between you ("you", "User") and NetL ("we", "us", "our"), governing your access to and use of the NetL desktop application, the website at netl.online, and any related services (together, the "Platform"). By creating an account, purchasing an access key, downloading, installing, or using NetL in any way, you agree to be bound by these Terms. If you do not agree, do not install, access, or use the Platform.
NetL is developed and operated as an independently branded software product. It is a desktop application that gives a video file a "live" output through a virtual camera and virtual microphone, so other software on your computer can use that output as if it were a webcam and microphone. NetL is currently operated on an individual basis under Nigerian law. As NetL grows, its operating structure may change over time (for example, through formal registration of a dedicated legal entity) — if and when that happens, this section will be updated to reflect it, and the "Last updated" date above will change accordingly. We are telling you this plainly rather than implying a corporate structure that doesn't yet exist.
You accept these Terms by taking any of the following actions: checking the acceptance box during purchase, purchasing an access key, installing the NetL application, or otherwise accessing or using the Platform. If you are entering into these Terms on behalf of an organization (for example, buying a key for use on a company computer), you represent that you have the authority to bind that organization, and "you" refers to that organization as well as yourself individually.
Acceptance happens at a specific, deliberate moment in the purchase flow — not silently, and not by default. The two checkboxes shown before payment (agreeing to these Terms, and confirming you won't use NetL for fraudulent, deceptive, or illegal purposes) must both be actively checked before payment can proceed. Neither is pre-checked for you.
You must be at least 18 years old and legally capable of entering into a binding contract in your jurisdiction to purchase an access key or use NetL. By using the Platform, you represent and warrant that you meet these requirements and that all information you provide (name, email, country, and any other registration details) is accurate, current, and complete.
We don't run an age-verification check at purchase time beyond this representation — which means the honesty of this representation genuinely matters, and misrepresenting your age or identity to obtain an access key is itself a violation of these Terms, independent of anything else you do with the product.
We want to be specific here, because "virtual camera software" can sound vague. NetL is a desktop application that lets you import a video file (picture and sound) and route its output through a system-level virtual camera device and a virtual microphone device on your own computer. Once running, any other application on that same computer — a video-calling app, a streaming tool, a recording tool — can select that virtual device the same way it would select a physical webcam, and will receive NetL's output as if it were a live camera feed.
Using NetL involves two things: an account (identified by the email address and password you choose when you sign up) and an access key (a license code issued once payment is confirmed, and emailed to you). Both exist for different reasons, and understanding the relationship between them makes the rest of this section easier to follow.
Once your account is active, you can sign in to NetL using either your email and password, or your access key — whichever is more convenient for you. Both methods sign in to the same underlying account and are subject to the same rules below.
An access key currently costs ₦39,999 (Nigerian Naira), one-time. There is no subscription, no recurring charge, and no fee beyond this amount — no "processing fee," no "service charge," nothing added at checkout that wasn't shown to you beforehand. If the price ever changes, the new price will be clearly shown before you pay; you will never be charged more than the amount displayed to you at the moment of purchase.
Payment is processed by a third-party payment processor. All payment is completed entirely inside the NetL desktop application — the website does not collect payment details or sell access keys, and no browser-based checkout exists for NetL. Pricing, currency, and the transaction reference for each purchase are determined solely by our server at the moment of purchase and cannot be edited by the application or by you — this is a deliberate security design, not an oversight, and exists specifically to prevent price or payment-reference tampering.
As a general rule, and stated plainly upfront before you ever pay: all purchases are final and non-refundable once payment has been confirmed, except in the one specific circumstance described in detail below. This is not a broad, vague "no refunds, sorry" clause — it is a narrow, deliberately worded policy, and we think it's worth explaining fully rather than leaving you to guess what it actually covers.
NetL is a digital product: the moment your payment is confirmed and your access key is generated, the thing you paid for has already been delivered to you — there is no physical return, no unopened box, no unused inventory to take back. A general no-refund model for finished, delivered digital goods is standard across the software industry precisely because delivery and consumption happen at effectively the same moment. Change-of-mind refunds ("I decided I don't want it anymore" after successfully receiving a working key) are not covered by this policy, and we want that stated clearly rather than discovered later.
There is exactly one scenario where a refund applies, and it is narrow and specific on purpose: if your payment was confirmed by our payment processor, but — due to a technical failure on our side — your access key was never generated, or your account was never successfully created, you are entitled to a refund. In plain terms: if you paid and genuinely received nothing in return through no fault of your own, that is the situation this exception exists for.
To claim a refund under this exception, you must contact us at support@netl.online within four (4) days of your payment date. We ask for this window for a practical reason worth explaining rather than hiding behind: our system is built so that a successful payment reliably results in an access key being generated and emailed to you within moments — a failure of that process is rare and is the kind of issue we want to catch, diagnose, and fix quickly, not months later when logs and payment records are harder to trace. Four days gives you a realistic, generous amount of time to notice the problem (including checking your spam folder, and giving our systems a reasonable chance to complete delivery) while keeping the process fair and traceable for everyone involved.

We will verify the claim against our own payment and account records. If we confirm that payment was received but no access key or account was successfully generated, we will process your refund. If an access key was in fact generated and delivered (for example, if it went to a spam folder, or was sent to a misspelled email address entered at checkout), that falls outside this exception — see the important email-accuracy note below.
Occasionally, a payment can take a short amount of time to fully confirm on the payment processor's side even after you see a "payment successful" message in the app. If your access key hasn't arrived within 15–30 minutes of payment, we'd genuinely encourage you to wait a little longer and check your spam folder before assuming something has gone wrong — but if it still hasn't arrived well within the four-day window, please do reach out. We would rather you contact us and find out everything is fine than sit on a genuine problem out of hesitation.
If you believe you were charged in error for any other reason — for example, a duplicate charge caused by a technical glitch — the same contact process applies: reach out within 7 days of purchase and we will look into it in good faith.
You agree to use the Platform only for lawful purposes and in accordance with these Terms. Specifically, you agree not to:
You expressly agree not to use NetL for any fraudulent, deceptive, or illegal activity. This includes, without limitation:
Violation of this Section is grounds for immediate suspension or revocation of your access key without refund, and we reserve the right to report unlawful activity to the appropriate authorities where we become aware of it.
NetL is designed to interoperate with third-party software you separately obtain, install, and agree to use under their own respective terms — for example, virtual-camera driver software (such as OBS Virtual Camera or v4l2loopback), virtual audio cable drivers (such as VB-CABLE or BlackHole), and any video-calling, meeting, or streaming application you choose to point NetL's output at. NetL does not own, control, or accept responsibility for any of this third-party software, and your use of it is governed solely by the terms and policies of its respective provider — not by us.
This also means: if a third-party application (say, a video-calling platform) changes its own software in a way that stops recognizing NetL's virtual camera output, that is outside our control, and we cannot guarantee indefinite compatibility with any specific third-party application (see Section 14).
The Platform, including the NetL application, website, logo, trademarks, source code, design, and documentation, is our exclusive property (or that of our licensors), and is protected by applicable intellectual property laws. Subject to your compliance with these Terms and a valid, unexpired access key, we grant you a limited, non-exclusive, non-transferable, revocable license to install and use the NetL application on one device at a time for your personal or internal business purposes. No other rights are granted — this license does not give you any ownership stake in NetL, any right to redistribute it, or any right to use our name or logo for your own purposes.
Video files you import into NetL remain your sole property and responsibility. As explained in Section 4, NetL does not access, upload, store, or transmit the content of videos you import — video processing occurs locally on your own device. You represent that you own or have the necessary rights to any video content you use with NetL, and that such use does not infringe the intellectual property, privacy, or other rights of any third party (for example: don't use NetL with a video of someone else without their permission, in a way that could deceive people about who they're talking to).
We collect the account information necessary to operate the Platform: full name, email address, country, IP address at the time of purchase, purchase and expiry dates, and device/session records associated with your access key (see Section 13). We do not display, request, or store payment card details on our servers — payment is processed entirely by our third-party payment processor. We do not sell your personal information. This is a short summary only — the complete detail of what we collect, why, how long we keep it, who we share it with, and the rights you have over it, is set out in full in our Privacy Policy, which forms part of these Terms by reference and is worth reading in full, not just skimming.
To enforce the single-device licensing model described in Section 5, NetL records login/logout events, device identifiers, device names, IP addresses, and general application activity (such as application launch, video import, and virtual camera start/stop events) associated with your access key. This activity log exists to secure your account, enforce licensing, and provide support if you report an issue — it is not used for advertising, not sold, and not shared with third parties except as required by law.
We aim to keep NetL working reliably, but we do not guarantee uninterrupted availability, and we do not guarantee that NetL will remain compatible with every version of every operating system or third-party application indefinitely. We may release updates to NetL from time to time, including to maintain compatibility, fix issues, or improve the product; we are not obligated to maintain any specific prior version. If a major compatibility issue arises with a widely-used third-party application, we will make a reasonable effort to address it, but cannot commit to a specific timeline, since the underlying change is outside our control.
We may suspend or revoke your access key, without refund, if we reasonably believe you have violated these Terms — in particular Sections 7 and 8 — or if required to do so by law. You may stop using NetL at any time by allowing your access key to expire and not renewing it. Sections which by their nature should survive termination (including Sections 10, 16, 17, 18, and 21) will survive.
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPATIBLE WITH EVERY THIRD-PARTY APPLICATION, OPERATING SYSTEM, OR HARDWARE CONFIGURATION.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE AND OUR OFFICERS, EMPLOYEES, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF, OR INABILITY TO USE, THE PLATFORM — INCLUDING ANY CONSEQUENCES ARISING FROM YOUR USE OF NETL WITH THIRD-PARTY APPLICATIONS. IN ALL CASES, OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID FOR YOUR ACCESS KEY IN THE SIX (6) MONTHS PRECEDING THE CLAIM.
You agree to indemnify, defend, and hold harmless NetL and its officers, employees, and affiliates from any claims, damages, liabilities, losses, and expenses (including reasonable legal fees) arising out of or related to: your use or misuse of the Platform; your violation of these Terms; your violation of any applicable law; or your infringement of any third-party right, including through content you import into or produce with NetL.
You represent that you are not located in, under the control of, or a national or resident of any country or region subject to comprehensive trade sanctions, and that you are not on any government restricted-party list that would prohibit your receipt or use of the Platform. You agree to comply with all applicable export control and sanctions laws.
We will not be liable for any failure or delay in performing our obligations under these Terms where that failure or delay results from circumstances beyond our reasonable control — including internet or infrastructure outages, acts of government, natural disaster, or widespread third-party service failures (for example, an outage affecting our email or payment providers).
These Terms are governed by the laws of the Federal Republic of Nigeria, without regard to its conflict-of-law principles. Any dispute arising out of or relating to these Terms or the Platform shall be subject to the exclusive jurisdiction of the courts of Nigeria, unless otherwise required by applicable local consumer protection law in your jurisdiction. Before initiating formal proceedings, we encourage you to first contact us directly at the email in Section 25 — many disputes can be resolved faster that way than through formal process.
If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right. You may not assign or transfer your rights under these Terms without our prior written consent; we may assign our rights and obligations under these Terms in connection with a merger, acquisition, or sale of assets, in which case we will make reasonable efforts to notify you.
These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and us regarding the Platform, and supersede any prior agreements or understandings, whether written or oral.
We may update these Terms from time to time. If we make material changes, we will update the "Last updated" date above and, where appropriate, notify you by email or an in-app notice. Continued use of the Platform after changes take effect constitutes acceptance of the revised Terms. If you do not agree to a material change, your recourse is to stop using the Platform — we don't have a mechanism to apply old terms to a still-active account indefinitely.
