This document is intentionally long — not to bury anything, but because we'd rather over-explain what you're agreeing to than hide it in dense legal shorthand. NetL is free software; wherever a clause exists for a reason that isn't obvious, we've tried to explain it next to it.
These Terms & Conditions ("Terms") are a binding agreement between you ("you", "User") and NetL ("we", "us", "our"), governing your access to and use of the NetL desktop application, the website at netl.online, and any related services (together, the "Platform"). NetL is free software. By creating an account, downloading, installing, or using NetL in any way, you agree to be bound by these Terms. If you do not agree, do not install, access, or use the Platform.
NetL is developed, published, and operated by Hocnex ("Hocnex", "we", "us", "our"), the umbrella company behind NetL — hocnex.com. NetL is Hocnex's first publicly released product: a desktop application that gives a video file a "live" output through a virtual camera and virtual microphone, so other software on your computer can use that output as if it were a webcam and microphone. Hocnex is currently operated on an individual basis under Nigerian law. As Hocnex grows, its operating structure may change over time (for example, through formal registration of a dedicated corporate entity) — if and when that happens, this section will be updated to reflect it, and the "Last updated" date above will change accordingly.
You accept these Terms by taking any of the following actions: checking the acceptance box during sign-up, creating an account, installing the NetL application, or otherwise accessing or using the Platform. If you are entering into these Terms on behalf of an organization (for example, using NetL on a company computer), you represent that you have the authority to bind that organization, and "you" refers to that organization as well as yourself individually.
Acceptance happens at a specific, deliberate moment in the sign-up flow — not silently, and not by default. The checkbox shown during account creation (agreeing to these Terms and confirming you won't use NetL for fraudulent, deceptive, or illegal purposes) must be actively checked before your account can be created. It is not pre-checked for you.
You must be at least 18 years old and legally capable of entering into a binding contract in your jurisdiction to create an account or use NetL. By using the Platform, you represent and warrant that you meet these requirements and that all information you provide (name, email, country, and any other registration details) is accurate, current, and complete.
We don't run an age-verification check at sign-up beyond this representation — which means the honesty of this representation genuinely matters, and misrepresenting your age or identity to obtain an account is itself a violation of these Terms, independent of anything else you do with the product.
We want to be specific here, because "virtual camera software" can sound vague. NetL is a desktop application that lets you import a video file (picture and sound) and route its output through a system-level virtual camera device and a virtual microphone device on your own computer. Once running, any other application on that same computer — a video-calling app, a streaming tool, a recording tool — can select that virtual device the same way it would select a physical webcam, and will receive NetL's output as if it were a live camera feed.
Using NetL involves creating an account, identified by the email address and password you choose when you sign up inside the app. There is no separate license code, key, or purchase involved — sign-up is free and your account is active as soon as you create it.
NetL is free to download and free to use. There is no price, no subscription, no trial period, and no in-app purchase of any kind. We will never ask you for payment or card details to use NetL, and if that ever changes, it will not happen retroactively or silently — it would require a clear, separate announcement and an update to these Terms.
NetL is closed-source — its source code is not published, and no license to the source code is granted to you. The compiled NetL application is offered to you free of charge, solely under the limited license grant in Section 10. Release builds and version/release notes are published on GitHub Releases for transparency and easy access to downloads — this is a distribution channel for compiled builds only, not a source-code repository you have rights to.
You agree to use the Platform only for lawful purposes and in accordance with these Terms. Specifically, you agree not to:
You expressly agree not to use NetL for any fraudulent, deceptive, or illegal activity. This includes, without limitation:
Violation of this Section is grounds for immediate suspension or termination of your account, and we reserve the right to report unlawful activity to the appropriate authorities where we become aware of it.
NetL is designed to interoperate with third-party software you separately obtain, install, and agree to use under their own respective terms — for example, virtual-camera driver software (such as OBS Virtual Camera or v4l2loopback), virtual audio cable drivers (such as VB-CABLE or BlackHole), and any video-calling, meeting, or streaming application you choose to point NetL's output at. NetL does not own, control, or accept responsibility for any of this third-party software, and your use of it is governed solely by the terms and policies of its respective provider — not by us.
This also means: if a third-party application (say, a video-calling platform) changes its own software in a way that stops recognizing NetL's virtual camera output, that is outside our control, and we cannot guarantee indefinite compatibility with any specific third-party application (see Section 14).
This Section is the End-User License Agreement governing your use of the compiled NetL application. The NetL application, website, logo, trademarks, design, and documentation are the property of Hocnex (or its licensors) and are protected by applicable intellectual property laws. NetL's source code is not published or licensed to you in any form.
Subject to your compliance with these Terms, Hocnex grants you a limited, non-exclusive, non-transferable, revocable, royalty-free license to install and use the compiled NetL application on one device at a time, for your personal or internal business purposes. No other rights are granted by this Section — this license does not give you any ownership stake in NetL, any right to use our name, logo, or trademarks for your own purposes, any right to access or receive the source code, or any right to redistribute, resell, or repackage the application. This license may be revoked if you materially breach these Terms (see Section 15).
Video files you import into NetL remain your sole property and responsibility. As explained in Section 4, NetL does not access, upload, store, or transmit the content of videos you import — video processing occurs locally on your own device. You represent that you own or have the necessary rights to any video content you use with NetL, and that such use does not infringe the intellectual property, privacy, or other rights of any third party (for example: don't use NetL with a video of someone else without their permission, in a way that could deceive people about who they're talking to).
We collect the account information necessary to operate the Platform: full name, email address, country, IP address at sign-up and login, and device/session records associated with your account (see Section 13). We do not sell your personal information. This is a short summary only — the complete detail of what we collect, why, how long we keep it, who we share it with, and the rights you have over it, is set out in full in our Privacy Policy, which forms part of these Terms by reference.
To enforce the single-device policy described in Section 5, NetL records login/logout events, device identifiers, device names, IP addresses, and general application activity (such as application launch, video import, and virtual camera start/stop events) associated with your account. This activity log exists to secure your account and provide support if you report an issue — it is not used for advertising, not sold, and not shared with third parties except as required by law.
We aim to keep NetL working reliably, but we do not guarantee uninterrupted availability, and we do not guarantee that NetL will remain compatible with every version of every operating system or third-party application indefinitely. We may release updates to NetL from time to time, including to maintain compatibility, fix issues, or improve the product; we are not obligated to maintain any specific prior version. If a major compatibility issue arises with a widely-used third-party application, we will make a reasonable effort to address it, but cannot commit to a specific timeline, since the underlying change is outside our control.
We may suspend or terminate your account if we reasonably believe you have violated these Terms — in particular Sections 7 and 8 — or if required to do so by law. You may stop using NetL at any time. Sections which by their nature should survive termination (including Sections 10, 16, 17, 18, and 21) will survive.
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPATIBLE WITH EVERY THIRD-PARTY APPLICATION, OPERATING SYSTEM, OR HARDWARE CONFIGURATION.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE AND OUR OFFICERS, EMPLOYEES, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF, OR INABILITY TO USE, THE PLATFORM — INCLUDING ANY CONSEQUENCES ARISING FROM YOUR USE OF NETL WITH THIRD-PARTY APPLICATIONS. AS NETL IS PROVIDED FREE OF CHARGE, OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID US FOR THE PLATFORM, WHICH IS ZERO.
You agree to indemnify, defend, and hold harmless NetL and its officers, employees, and affiliates from any claims, damages, liabilities, losses, and expenses (including reasonable legal fees) arising out of or related to: your use or misuse of the Platform; your violation of these Terms; your violation of any applicable law; or your infringement of any third-party right, including through content you import into or produce with NetL.
You represent that you are not located in, under the control of, or a national or resident of any country subject to a comprehensive embargo under applicable export control or sanctions laws, and that you are not on any restricted-party list maintained by such laws. You agree to comply with all applicable export control and sanctions laws in connection with your use of the Platform.
We will not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including natural disasters, acts of government, war, civil unrest, labor disputes, or internet or infrastructure outages.
These Terms are governed by the laws of the Federal Republic of Nigeria, without regard to its conflict-of-law principles. Any dispute arising out of or relating to these Terms or the Platform will first be attempted to be resolved informally by contacting us at the address in Section 25.
If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right. You may not assign or transfer your rights under these Terms without our prior written consent; we may assign our rights and obligations under these Terms in connection with a merger, acquisition, or sale of assets, in which case we will make reasonable efforts to notify you.
These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and us regarding the Platform, and supersede any prior agreements or understandings, whether written or oral.
We may update these Terms from time to time. If we make material changes, we will update the "Last updated" date above and, where appropriate, notify you by email or an in-app notice. Continued use of the Platform after changes take effect constitutes acceptance of the revised Terms. If you do not agree to a material change, your recourse is to stop using the Platform.
